Reseller Program Terms

Effective October 13, 2026 | Version 2026-10-13.1

These Reseller Program Terms (the "Reseller Terms") are an agreement between GameForce Technologies LLC and GameForce Telecom LLC (together, "GameForce", "we" and "us") and the business that holds a GameForce reseller license ("you"). The reseller license lets you build custom apps on GameForce for other businesses (your "clients") and sell those apps to them.

The Reseller Terms add to our Terms of Service (the "Terms"), our Acceptable Use Policy, our Privacy Policy, our Refund, Billing and Dispute Resolution Policy and the GameForce Developer Program Terms. All of them still apply. The Reseller Terms are the written reseller license that sections 3 and 4 of the Developer Program Terms refer to, for the client apps they cover. If the Reseller Terms and one of those documents disagree about your reseller license, the Reseller Terms control for that license only. Words defined in the Terms mean the same thing here.

After your license switches on Agency Mode, the reseller portal also asks an admin of your company to sign the GameForce Reseller Agreement. For your reseller license and every client you add under it, these Reseller Terms control wherever the two differ, including seat and client fees, our share, payouts and their timing, and law and disputes, whichever of the two your company accepted first. The Reseller Agreement's whole agreement clause does not replace these Reseller Terms.

1. Saying yes

Your reseller license cannot start until an admin of your company answers Yes to the current version of these Reseller Terms at checkout. A No is recorded too, but it never undoes a Yes already given; to stop, cancel your license (section 15). We record every answer with the version, the time, the person who answered, their email address and name, their IP address and their browser.

A Yes binds your company. Answer only if you are an admin of your company and have the authority to bind it. Each answer is given by the admin who is signed in, in their own name.

2. Who it is for

The reseller license is for businesses that build custom apps on GameForce for other businesses and sell those apps to them. For example, an agency that builds a canvassing app for a roofing company and a different app for a solar company.

You must be a business, verified through Stripe at checkout (section 4), and the person who answers Yes must be at least 18 years old.

Your own company's use of GameForce stays under the Terms and the Developer Program Terms, as before.

3. The license and its fee

The reseller license costs $497 a month, or $4,970 a year paid in advance. You choose monthly or yearly at checkout and pay on Stripe's secure checkout page. It renews automatically at the end of each month or year until you cancel (section 15).

Your license becomes active only when its fee is paid and Stripe has verified your business (section 4); if a later fee is not paid, we may suspend it (section 15). When your license becomes active, we switch on Agency Mode for your company, so you can run each client as its own company under yours.

Prices are in US dollars and do not include taxes. We tell you at least 30 days before a price goes up. All fees follow the Refund, Billing and Dispute Resolution Policy, including its no refund terms.

4. Business verification

At checkout you set up your company's payout account through Stripe Connect. Stripe collects and verifies your business details, including your business's tax identification number (in the United States, your Employer Identification Number, or EIN). That check is our business verification: your license does not become active until Stripe reports that your business details are submitted and that your account can accept charges.

If your company already has a payout account with GameForce, we use that same account. Keep its details current. If Stripe later cannot verify your business or pay you, we may hold your payouts or suspend your license until it is fixed (section 15).

5. Fees for each client

For each client, you pay GameForce:

You set your own prices for your clients, and you keep what you charge above what you owe GameForce. We bill these fees as your reseller portal shows, from the day you add the client until the client leaves you. Usage is charged as it happens.

6. One app, one client

Each app you build under the reseller license is registered to one client company and runs only for that client.

Using an app, or a copy or a close variant of it, for another client is a new client install: you add that client under section 5, and its activation fee and monthly platform fee apply. You may not offer an app to the public, or sell one app to many businesses as a product, under the reseller license.

We may compare the apps hosted under your license to find copies used for more than one client. A person at GameForce reviews what we find before we act, as section 13 describes.

7. Billing through GameForce

Every payment a client makes for an app you build or for GameForce work you do for them, whether a subscription, a setup fee or any other upfront payment, must be billed through GameForce billing. That is how we track each payment and collect our 15 percent.

You may not bill a client for that work outside GameForce, hide users or accounts to avoid seat fees, or otherwise go around the fees in these Reseller Terms.

8. GameForce deploy and our code

Every app you build under the reseller license is hosted on GameForce Cloud and deployed with gameforce deploy. You may not run a client app anywhere else.

You build on GameForce through our API, Atlas Build and the other tools we give you. They give you outcomes, never our internals. You and your clients never get GameForce's source code, repositories, internal tools or infrastructure, and you must not try to get them (section 3 of the Developer Program Terms).

9. Your clients stay protected

Each client is its own company on GameForce. Its admin accepts the GameForce Terms and Privacy Policy, and the client owns its own data.

If you stop being a reseller, for any reason, your clients stay on GameForce. Each client chooses what happens next: stay and be billed by GameForce directly, move under another GameForce reseller, or leave. You will help with an orderly handover, and you will never delete, hold back or lock a client's data, apps or account.

While your license is in effect and for 12 months after it ends, you will not solicit a client of yours, or any other GameForce customer you learned about through GameForce, to leave GameForce.

10. Your duties

11. Payouts, the holdback and tax forms

Money we owe you from your clients' payments is paid to your payout account through Stripe Connect. Each payout is held about 30 days, so refunds and chargebacks can be covered:

A refund or chargeback on a client payment reverses what you earned from it, and we may take that amount from later payouts.

Give Stripe the tax details it asks for. We provide, through Stripe, the tax forms the law requires for your payouts (in the United States, for example, Form 1099). You are responsible for the taxes on your income and on what you charge your clients.

12. Deal registration and partner tiers

When they open in your account, deal registration and partner tiers (for example Silver, Gold and Platinum, and their perks) work as the reseller program pages there describe. A registered deal protects a prospect you bring from our direct sales for the time those pages state (about 90 days).

13. How we enforce these terms

We watch how the reseller license is used, to protect your clients, our carriers and GameForce. When our systems see signs of use outside these Reseller Terms (for example, one app serving more than one client, or client payments that never reach GameForce billing), a person at GameForce reviews it. A signal alone never suspends or bans anyone.

If we find a breach, we tell you what we found and give you 10 business days to explain or fix it. If the breach puts people, carriers, your clients or GameForce at risk, we may act first and tell you right after.

If we confirm that you went around these Reseller Terms (for example, by billing a client outside GameForce, serving a client you did not add, using an app for another client without a new client install, or hiding users), you agree that:

  1. Suspension. We may suspend your reseller license, your payouts and new client installs right away. Your clients' own accounts keep working unless a client is part of the breach.
  2. Back billing. You pay what that use would have cost under these Reseller Terms: for each client served outside them, the activation fee, the monthly platform fee and the seat fees for each month or part of a month, 15 percent of what the client paid for the app or the work, and any unpaid usage.
  3. Costs. When we prevail, you pay our reasonable legal fees and costs of enforcing these Reseller Terms, including collection, as Section 10.5 of the Terms also provides.
  4. Injunction. We may ask an arbitrator or any court with jurisdiction to stop the breach, as Sections 10.3 and 17.7 of the Terms allow.
  5. Termination. We may end your reseller license (section 15).

These remedies add to each other and to every remedy in the Terms and the Developer Program Terms.

14. Audit

On 10 business days' written notice, and no more than once in any 12 months unless we have a good faith reason to suspect a breach, you will give us the records we reasonably need to check that you follow these Reseller Terms: your clients, the apps you built for each, what each client paid you for them and how it was billed. We may review our own records of your use of GameForce at any time. We keep what we learn confidential and use it only to check and enforce these Reseller Terms. If an audit finds unpaid fees, you pay them, and if they are more than 5 percent of what you paid for the audited period, you also pay the reasonable cost of the audit.

15. Canceling, suspension and ending

You can cancel your license at any time by writing to [email protected]. It ends at the end of the month or year you have paid for; the license fee for the rest of that period is not refunded.

We may suspend or end your license if you breach these Reseller Terms, the Terms or the Developer Program Terms, if you do not pay, if Stripe can no longer verify your business or pay you, if the law or a carrier requires it, or if we stop offering the reseller license. When we end your license, we tell you why unless the law stops us.

When your license ends, your clients stay protected as section 9 describes. We pay what you earned up to the end, less anything you owe us or that was reversed. Fees you owe stay due, including each client's fees until that client moves to direct billing or another reseller, or leaves. Sections 5 (for fees owed), 7, 9, 11 (for money owed), 13, 14 and 17 survive the end of these Reseller Terms.

16. Changes to these terms

We version these Reseller Terms; the version and the date are at the top. When we change them, we post the new version here and tell your admins by email or in your account. We may pause new client installs and changes to your license until an admin answers Yes to the new version. A price change also follows the 30 day notice in section 3. We keep a record of each version and of every answer given to it.

17. Law and disputes

These Reseller Terms are part of the Terms. Section 17 of the Terms (Dispute Resolution and Arbitration) applies to them in full, including the informal resolution step, binding arbitration, the class action and jury trial waivers, the seat of arbitration in San Juan, Puerto Rico, the laws of the Commonwealth of Puerto Rico, and Section 17.7, which lets GameForce seek an injunction in court. If any part of these Reseller Terms cannot be enforced, the rest still applies, as Section 19 of the Terms describes.
